Allio Capital Terms of Service (Altitude AI)

These Terms of Service ("Terms") govern your access to and use of Altitude AI by Allio, the proprietary platform of Allio Capital, Inc. ("Allio," "we," "us," or "our"), including all related software, applications, APIs, and services (collectively, the "Services"). These Terms constitute a legally binding agreement between you and Allio.
By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization.
1. Definitions
"Allio" refers to Allio Capital, Inc. "Altitude AI" refers to Allio’s AI-powered portfolio analysis and decision-support product. "You" or "User" refers to the individual or entity accessing or using the Services.
2. Scope of Services
Allio provides portfolio analytics, investment research tools, and AI-assisted decision-support features intended solely for use by financial professionals.
The Services are provided for informational and analytical purposes only.
3. No Investment Advice; No Fiduciary Relationship
Allio does not provide investment advice, portfolio management, or discretionary investment services.
Allio is not acting as a fiduciary, investment adviser, broker-dealer, or agent.
All outputs generated by the Services are provided for informational purposes only. You are solely responsible for evaluating, approving, and implementing any investment decisions.
4. User Responsibilities
You agree that you are solely responsible for:
Compliance with all applicable laws, regulations, and professional obligations
Determining suitability of any investment decisions for your clients
Verifying the accuracy, completeness, and appropriateness of all outputs
Maintaining all required licenses, registrations, and approvals
The Services do not replace professional judgment.
5. Use of Artificial Intelligence
The Services utilize artificial intelligence, statistical models, and automated processes.
You acknowledge and agree that:
AI-generated outputs may contain errors or inaccuracies
Outputs may be incomplete or outdated
Outputs should not be relied upon as the sole basis for any decision
You assume all risk associated with reliance on AI-generated outputs.
6. User Data and Data Rights
You retain all right, title, and interest in the data you upload or submit to the Services.
You grant Allio a limited, non-exclusive license to use such data solely to:
Provide and operate the Services
Generate aggregated and anonymized analytics
Improve and maintain the Services
Allio does not sell identifiable personal or client data.
7. Third-Party Data and Services
The Services may incorporate data or services from third parties. Allio does not control and is not responsible for the accuracy, availability, or completeness of third-party data.
8. Fees, Billing, and Refunds
Fees are billed in accordance with your subscription plan.
All fees are non-refundable except as required by applicable law or expressly stated in writing.
Allio may suspend or terminate access for non-payment.
9. Acceptable Use
You agree not to:
Use the Services for unlawful purposes
Reverse engineer or attempt to extract source code or models
Circumvent usage limits or security measures
Upload malicious, infringing, or unauthorized content
10. Confidentiality
Each party agrees to maintain the confidentiality of the other party’s confidential information and to use such information solely for purposes permitted under these Terms.
11. Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." ALLIO DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ALLIO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
ALLIO’S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
13. Indemnification
You agree to indemnify and hold harmless Allio from any claims, liabilities, damages, and expenses arising out of your use of the Services or your violation of these Terms.
14. Termination
Allio may suspend or terminate access to the Services in accordance with your subscription terms.
Upon termination, your right to access the Services will cease.
15. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware.
16. Modifications
Allio may modify these Terms at any time. Continued use of the Services constitutes acceptance of the modified Terms.
